Welcome to Muse Social Collective. These Terms & Conditions (“Terms”) govern your use of the Muse Social Collective website and the purchase or use of services provided by Muse Social Collective (“Muse,” “we,” “us,” or “our”).

By accessing our website, submitting an inquiry, purchasing a service, or entering into an agreement with Muse Social Collective, you acknowledge that you have read, understood, and agree to these Terms.

For clients receiving ongoing services, these Terms are supplemented by the individual proposal, agreement, or contract provided to you by Muse Social Collective. If there is a conflict between these Terms and a signed client agreement, the signed client agreement will control.

1. Our Services

Muse Social Collective provides creative and social media services, which may include:

  • Social media management

  • Social media strategy

  • Content planning

  • Social media content creation

  • Photography and videography

  • Short-form video and Reels

  • Social media scheduling and publishing

  • One-time content creation sessions

  • Other creative services outlined in an individual client agreement

Specific services, deliverables, timelines, pricing, and responsibilities will be outlined in your individual proposal or agreement.

Muse reserves the right to modify, expand, or discontinue services offered at any time.

2. Client Responsibilities

Successful social media management is a collaborative process. Clients agree to provide Muse with the information, materials, access, feedback, and approvals reasonably necessary to complete the agreed-upon services.

This may include:

  • Providing accurate business information

  • Providing brand assets, logos, photos, videos, and other materials

  • Providing necessary social media account access or permissions

  • Responding to requests for information or approvals in a timely manner

  • Reviewing content before publication when approval is required

  • Providing accurate information about products, services, pricing, promotions, and business operations

  • Ensuring that materials provided to Muse may legally be used for the intended purpose

Muse is not responsible for delays caused by missing information, delayed approvals, unavailable account access, or other circumstances outside of our reasonable control.

3. Social Media Management

For ongoing social media management clients, Muse will provide the services and deliverables specifically outlined in the selected package and client agreement.

Because social media platforms are constantly changing, Muse cannot guarantee specific follower counts, engagement rates, reach, leads, sales, viral content, or other business results.

Social media performance can be affected by factors outside of Muse's control, including platform algorithms, competition, audience behavior, market conditions, platform outages, and changes to platform policies.

Muse will use reasonable professional efforts to create and manage a thoughtful social media strategy designed around the client's goals.

4. Content Creation

Content creation services will be provided according to the scope outlined in the client's agreement or selected service.

Unless otherwise stated, content creation may include photography, video, short-form video, creative direction, and other social media assets.

Muse will make reasonable efforts to create content that reflects the client's brand, aesthetic, goals, and approved creative direction.

Clients are responsible for communicating important brand requirements, preferences, restrictions, and necessary revisions before final approval.

5. One-Time Content Creation Sessions

One-time content creation sessions are scheduled services and are subject to the terms outlined in the applicable booking agreement.

Clients are responsible for arriving prepared and on time and providing any necessary products, props, wardrobe, locations, or other materials unless otherwise agreed upon.

If a client needs to reschedule, the rescheduling and cancellation terms outlined in the applicable booking agreement will apply.

Content delivered as part of a one-time session will be limited to the deliverables specified in the client's agreement.

6. Scheduling and Timelines

Muse will make reasonable efforts to meet agreed-upon deadlines.

Timelines may be affected by delayed client feedback, missing materials, scheduling conflicts, illness, technical issues, platform changes, or other circumstances outside of Muse's reasonable control.

If a client does not provide requested feedback or approvals within the agreed timeframe, Muse may need to adjust the content calendar or delivery timeline.

7. Revisions and Approvals

The number of revisions included in your service will be determined by your individual package or agreement.

Additional revisions or requests outside the agreed scope may be subject to additional fees.

Once content has been approved by the client, significant changes requested afterward may be considered additional work and may result in additional charges.

Clients are responsible for reviewing approved content for accuracy, including dates, pricing, offers, contact information, spelling, claims, and other business-specific information.

8. Payment

Pricing and payment terms will be provided in the client's proposal, invoice, or service agreement.

Payments are processed through HoneyBook and applicable payment processing providers.

Unless otherwise stated in your individual agreement, services will not begin until required deposits, initial payments, or other applicable fees have been received.

Invoices must be paid according to the payment schedule outlined in the applicable agreement.

Muse reserves the right to pause services if an invoice becomes overdue.

Muse may also charge reasonable late fees or other applicable fees if specifically stated in the client's agreement.

9. Cancellation and Termination

Cancellation and termination terms for ongoing services will be outlined in the client's individual agreement.

Muse reserves the right to terminate a client relationship if a client:

  • Fails to make required payments

  • Repeatedly fails to provide necessary information or approvals

  • Engages in abusive, discriminatory, threatening, or inappropriate behavior

  • Requests work that violates applicable laws or platform policies

  • Materially breaches the client agreement or these Terms

If services are terminated, the client remains responsible for any unpaid amounts for services already provided or committed to before termination, as outlined in the applicable agreement.

10. Intellectual Property

Unless otherwise stated in the client's individual agreement, Muse retains ownership of its pre-existing intellectual property, including proprietary processes, strategies, templates, systems, concepts, and internal resources.

Upon full payment for the applicable services, the client will receive the rights to use the final approved deliverables created specifically for the client as outlined in the applicable agreement.

Muse does not transfer ownership of third-party materials, fonts, music, stock photography, platform assets, or other materials that Muse does not own.

11. Portfolio and Marketing Use

Unless otherwise agreed in writing, Muse Social Collective may display completed client work in its portfolio, website, social media accounts, proposals, presentations, and other marketing materials for the purpose of showcasing our work.

If you do not want your work or business featured publicly, please notify Muse in writing before work begins or as otherwise specified in your client agreement.

12. Third-Party Platforms

Muse may use third-party platforms and tools to provide services, including social media platforms, scheduling platforms, content management tools, cloud storage services, and other software.

Muse is not responsible for interruptions, outages, algorithm changes, account restrictions, policy changes, technical failures, or other issues caused by third-party platforms.

Clients are responsible for maintaining ownership of their social media accounts and ensuring that Muse has appropriate access to perform agreed-upon services.

13. Account Access and Security

Clients remain responsible for ownership and control of their social media accounts.

Muse will use reasonable care when accessing and managing client accounts.

Clients should not provide passwords or sensitive account information through unsecured communication methods when a platform's approved access or permission system is available.

Upon termination of services, Muse will no longer access client accounts except as reasonably necessary to complete agreed-upon offboarding activities.

14. Client-Provided Materials

Clients represent that they have the necessary rights, licenses, permissions, and authority to provide Muse with any photos, videos, logos, music, trademarks, written content, or other materials supplied for use in connection with the services.

The client is responsible for any claims arising from materials supplied by the client that infringe upon the rights of another person or entity.

15. Claims and Business Information

Clients are responsible for ensuring that claims made about their products, services, pricing, promotions, results, testimonials, or other business offerings are accurate and legally permissible.

Muse may rely on information supplied by the client when creating content.

Muse does not provide legal, financial, medical, or other professional advice through its social media services.

16. No Guarantee of Results

Muse Social Collective does not guarantee specific business outcomes from social media management or content creation.

This includes, but is not limited to:

  • Follower growth

  • Engagement

  • Reach

  • Website traffic

  • Leads

  • Sales

  • Revenue

  • Viral content

  • Algorithmic performance

  • Search rankings

Our goal is to create thoughtful strategy and authentic content designed to support your business goals, but results depend on numerous factors outside of our control.

17. Website Use

The content on the Muse Social Collective website is provided for general informational purposes.

You may view and use the website for lawful purposes only.

You may not:

  • Copy or reproduce website content without permission

  • Use our branding, graphics, or materials without authorization

  • Attempt to interfere with the website's functionality or security

  • Use the website for unlawful or fraudulent purposes

All website content, including written content, graphics, branding, logos, and original creative materials, is owned by or licensed to Muse Social Collective unless otherwise stated.

18. Confidentiality

Muse respects the confidentiality of information shared by clients in connection with their business and services.

Muse will not intentionally disclose confidential client information to third parties except when reasonably necessary to provide services, comply with applicable law, protect our rights, or as otherwise permitted by the client's agreement.

Clients are also expected to respect confidential information shared by Muse, including proprietary strategies, processes, pricing structures, and business information.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Muse Social Collective will not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of our website or services.

Muse's total liability arising from a particular service will, to the extent permitted by law, be limited to the amount the client paid to Muse for the specific services giving rise to the claim.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

20. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Muse Social Collective and its owner, contractors, and representatives from claims, damages, liabilities, losses, and expenses arising from:

  • Materials or information supplied by the client

  • The client's products or services

  • The client's violation of applicable laws or regulations

  • The client's violation of third-party rights

  • The client's breach of these Terms or their individual service agreement

21. Force Majeure

Muse will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, severe weather, illness, internet or technology failures, power outages, government actions, platform outages, cyber incidents, or other unforeseen circumstances.

22. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Any legal dispute that cannot be resolved informally will be handled in a court of appropriate jurisdiction as permitted by applicable law.

23. Changes to These Terms

Muse Social Collective reserves the right to update these Terms from time to time.

When changes are made, the “Last Updated” date at the top of this page will be updated.

Continued use of our website after updated Terms are posted constitutes acceptance of the revised Terms to the extent permitted by law.
